This End User License Agreement (“Agreement”) is a binding legal agreement between you (“End User,” “you,” or “your”) and The Descartes Systems Group Inc. or one of its Affiliates (“Descartes,” “we,” “us,” or “our”).

This Agreement governs your download, installation, access to, and use of Descartes Plug- in made available for use, access or download via a third-party Marketplace.

  1. Definitions

    “Affiliates” of a party shall mean any corporation that (a) is controlled, either directly or indirectly, by a party; (b) is under common voting control, either directly or indirectly, with the party; or (c) that controls the party; as the case may be. For the purposes of this definition “control” means the ability to vote greater than fifty percent (50%) of the outstanding voting securities in such corporation.

    “Commercial Agreement” a separate written commercial agreement between you and Descartes for Descartes Solution.

    “Descartes Plug‑In” means the Descartes-branded software component, extension, connector, or integration module provided by Descartes that is designed to interoperate with, enable, or enhance the functionality of Descartes Solution, including any updates, modifications, or related documentation made available by Descartes. Descartes Plug‑In is provided solely as an integration tool and does not constitute a standalone product offering separate from the applicable Descartes Solution.

    “Descartes Solution” means the applicable Descartes products and services within the scope of the Commercial Agreement that Descartes Plug-In is designed to work with.

    “Marketplace” means any third-party platform, application store, or online marketplace through which the Descartes Plug‑In is made available for download, installation, or access. The Marketplace acts solely as a distribution channel and is not responsible for the Descartes Plug‑In or any obligations arising under this Agreement.

  2. Relationship to Commercial Agreement
    Your use of the Descartes Plug‑In is subject to the terms and conditions of the Commercial Agreement. The Commercial Agreement governs all rights to access and use the Descartes Solution,  identified therein. In the event of any conflict, the Commercial Agreement prevails.  DO NOT USE THE DESCARTES PLUG‑IN UNLESS YOU ARE A PARTY TO THE COMMERCIAL AGREEMENT.  YOU ARE NOT AUTHORIZED TO USE THE DESCARTES PLUG‑IN WITHOUT SUCH COMMERCIAL AGREEMENT.

  3. License Grant
    Descartes grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Descartes Plug‑In solely to enable the integration with the specific Descartes Solution that the Descartes Plug-In is designed for use with, as specified by Descartes.

  4. Restrictions
    You may not copy, modify, reverse engineer, decompile, create derivative work, distribute, or use the Descartes Plug‑In outside the scope of the Commercial Agreement.

  5. Ownership
    All intellectual property rights in the Descartes Plug‑In remain with Descartes and its licensors.

  6. Marketplace Disclaimer
    THE MARKETPLACE IS NOT A PARTY TO THIS AGREEMENT AND HAS NO RESPONSIBILITY OR LIABILITY RELATED TO THE DESCARTES PLUG‑IN. ALL RIGHTS AND OBLIGATIONS ARE BETWEEN YOU AND DESCARTES.

  7. Third-Party Services Disclaimer
    DESCARTES IS NOT RESPONSIBLE FOR THIRD-PARTY PRODUCTS OR SERVICES THAT INTEROPERATE WITH THE DESCARTES PLUG‑IN. ANY USE OF SUCH THIRD-PARTY PRODUCTS OR SERVICES IS AT YOUR OWN RISK AND DESCARTES DISCLAIMS ANY LIABILITY THAT MAY ARISE FROM YOUR USE OR ACCESS TO ANY THIRD PARTY PRODUCTS OR SERVICES.

  8. Data and Privacy
    Data processing is governed by the Commercial Agreement and Descartes’ privacy terms.

  9. Updates
    Descartes may provide updates to the Descartes Plug‑In, which are governed by this Agreement.

  10. Disclaimer of Warranties
    Descartes Plug‑In is provided “as is” without warranties. Any warranties are governed by the Commercial Agreement.

  11. Limitation of Liability
    Descartes’ liability is governed exclusively by the Commercial Agreement.

  12. Term and Termination
    This Agreement terminates automatically upon termination of the Commercial Agreement.

  13. Governing Law
    This Agreement is governed by the laws of Ontario, Canada.

  14. Changes
    Descartes may update this Agreement from time to time.
